Purpose and scope of application:
beemyguest.rentals is a brand owned by Beemyguest, these General Business Conditions are intended to govern the business relationship between Beemyguest and its customers.
On the basis of these Terms and Conditions, beemyguest.rentals will provide the client with various services such as the purchase and sale of real estate in France and Turkey, construction management, company formation and certain related services.
These General Terms and Conditions of Business shall form an integral part of any contract entered into between the Client and beemyguest.rentals by signing a form online or on paper.
By entering into a Contract with beemyguest.rentals, the Client accepts the present Terms and Conditions. A list of rates and a list of services are available on the beemyguest.rentals website or on brochure by simple request.
All other general conditions that deviate from, contradict or complement the present General Commercial Conditions will be excluded from any Contract, unless otherwise expressly agreed in writing between the Client and beemyguest.rentals.
In the event of a conflict between these Terms of Business and any Contract, the provisions of the Contract shall prevail over these Terms of Business.
beemyguest.rentals reserves the right to modify the General Terms of Business at any time with immediate effect. The Client will be informed of these modifications by written notification. The amendments will be approved by the Client, unless beemyguest.rentals receives a written objection in this respect within one month from the date of notification.
Content and scope of services:
Foundation and management of a company and Additional Services
beemyguest.rentals may provide the Client with a Company formation service in France and Turkey. beemyguest.rentals may also arrange, whether through beemyguest.rentals’ affiliates or third parties, the provision of Additional Services such as the appointment of trustees, shareholder trustees, Internet merchant account, company logo, company stamp, power of attorney, notarial certification and apostille on documents. The term “Affiliates” means, with respect to beemyguest.rentals, a subsidiary or holding company of beemyguest.rentals or any other subsidiary of such holding company.
All Additional Services will be provided on the basis of a specific agreement between Client and the relevant Additional Services provider, except for stamps, stamps and logos, notarization and apostille.
Ordering and reserving a company name:
beemyguest.rentals reserves the company name to the extent it is available. Between the verification and the actual purchase of the company name, beemyguest.rentals cannot be held responsible for the unavailability of a company name. A company name may be available at the time of reservation/registration, but it may happen that the registration organization rejects the name at the time of registration because it is too close to another existing company or for any other reason specific to the organization.
Delivery time :
beemyguest.rentals is subject to the processing times of each state or country of incorporation. As soon as the official documents are returned to beemyguest.rentals, they will be redirected to you as soon as possible.
The registration of a company can take from 3 days to 8 weeks plus postal delays.
A copy by email or fax of the official documents can be sent to you as soon as the State returns them.
beemyguest.rentals cannot guarantee an exact date or time of delivery of the product or service given the dependence on other agencies.
The bank introduction service:
As the name suggests, beemyguest.rentals introduces the client to a partner bank with which our group has either experience or an agent agreement. Our service consists in simplifying the procedure for our client, following and advising the client in this banking step by using our contacts and/or our experience with the bank. This service is often included free of charge in our packages or charged at a small fee in order to cover our intervention and working time. The bank introduction service cannot be guaranteed and/or reimbursed in any way.
beemyguest.rentals can assist the Customer in opening a bank account. In this context, beemyguest.rentals can propose to the Client a list of banks, but it is the Client who remains responsible for the choice of his bank. The successful implementation of additional services such as credit cards, bank checkbooks or internet banking access is not guaranteed. The service may only be used for legal purposes.
Right to refuse services:
beemyguest.rentals reserves the right to refuse all or part of the services it offers to a Customer without reason or explanation, and cannot, under any circumstances, be held responsible for such refusal.
Legal advice:
While beemyguest.rentals strives to provide truthful and correct information about all of its services, it does not provide legal advice. It is the Client’s responsibility to ensure that they have all necessary legal and tax advice with respect to the establishment and operation of their Company, and to ensure that the activities will not violate the law of any relevant jurisdiction.
Legal Purposes:
Customer warrants that it will not use any of the rights granted in a Contract for any illegal, obscene, immoral or defamatory purpose and will not discredit beemyguest.rentals in any way. The Client may not use or associate the name of beemyguest.rentals, in whole or in part, for commercial purposes. If necessary, beemyguest.rentals reserves the right to cooperate with any official investigating authority in case of alleged misconduct against the Customer.
Money laundering and due diligence:
The Client will provide beemyguest.rentals with any information deemed necessary by the latter in order to ensure that the Company complies with the applicable anti-money laundering and due diligence legislation. It is the Client’s responsibility to ensure that the information provided to beemyguest.rentals is correct. The Client also declares to beemyguest.rentals that the assets or funds introduced into a Company are not, directly or indirectly, the proceeds of a crime or any other illegal activity. In order to enable beemyguest.rentals to meet its legal obligations, the Client will keep beemyguest.rentals fully and promptly informed of any changes in the economic beneficiary, shareholders and officers of the Company.
Customer’s obligations:
The Customer is required to provide the following information:
A copy of the proof of identity
A signed copy of the company’s articles of association (by-laws and articles of association)
A copy of the company’s register of directors
A copy of the company’s certificate of incorporation
A postal power of attorney
In any case, inform beemyguest.rentals immediately of any changes to the above-mentioned documents, to its legal form and corporate purpose, as well as any changes to the names and personal addresses of the persons who have the power to bind the company
It is the Client’s responsibility to inform all parties of the change of address. Mail sent afterwards will be returned to the sender.
Fees and Payment Terms :
In general the Client agrees to pay the fees claimed by beemyguest.rentals. The fee schedule of beemyguest.rentals can be found on the page Our services: https://beemyguest.rentals/nos-services/. In addition to the fees mentioned on the page, the Customer acknowledges that he/she will have to reimburse all the expenses incurred in a non-limitative way.
beemyguest.rentals will not commence an execution phase until full payment of fees has been received. All fees and expenses are payable in the currency designated by beemyguest.rentals which is usually the Euro (€). The Client is not entitled to withhold fees and charges as a result of claims related to any service, warranty or liability. Likewise, any right of set-off on the part of the Customer is hereby excluded.
Bank account opening:
The Customer may be required in certain cases to pay a flat fee for services related to the opening of a bank account.
These fees may be changed at any time without notice. The Client will be required to pay the application fee before beemyguest.rentals commences the service. The Client can pay the application fee to beemyguest.rentals by bank transfer. Bank opening: in this case, beemyguest.rentals accompanies you in the remote opening of your bank account until you obtain the banking elements (VISA card, internet access).
The files are subject to acceptance by the bank concerned.
Depending on the bank, the client must meet the requirements of the bank file to be constituted and provide all the necessary elements. Any incomplete file will result in a delay or refusal.
After opening a bank account, each client becomes a client of the bank and it is to the bank that he/she will have to apply.
In the particular case of a bank account opening, beemyguest.rentals acts as a third party in the relationship between the Bank and the Client. Therefore, beemyguest.rentals can in no way be held responsible for the relationship between the Bank and the Customer. beemyguest.rentals has no authority to act and does not purport to act as an employee, representative or member of the management of the Bank and/or to sign on its behalf or to incur any liability whatsoever on behalf of the Bank.
Note: beemyguest.rentals cannot be held responsible in the event that a request to open a bank account or to obtain means of payment is refused. Our role being simply limited to the bank introduction.
Rental management:
The small KFT agency will put you in contact with our partner company responsible for rental management. However, beemyguest.rentals has no authority to act and does not claim to act as an employee, representative or member of the management of the rental management company / or to sign on its behalf or incur any liability whatsoever on behalf of the rental management company. Our role is simply limited to the introduction with our partner.
However, the management fees and modalities, to be paid by the client, may evolve and are to be contractually defined.
In general, all expenses related to the good management of the property remain at the charge of the investor, such as, but not limited to :
– The bookkeeping of the company,
– The various taxes or/and duties,
– Work and maintenance expenses,
– Change of tenant (for contracts of one month and more)
– Etc.
Financial information:
The information on rental reports and other financial information provided on the beemyguest.rentals website and communication documents has been calculated according to financial analyses of the real estate market in France and Turkey.
Bee my guest cannot be held responsible for the final financial results, as these depend on many risk factors, such as economic or material factors that cannot be controlled.
All figures specified in BeeMyGuest communications materials are for illustrative purposes only, these results are forward-looking and not guaranteed by Bee my guest.
Communication and Instructions:
Client and beemyguest.rentals may send instructions, notices, documents or other communications to each other by mail, email or fax, provided, that beemyguest.rentals may send expense or fee reports as an email attachment. Client and beemyguest.rentals shall retain all instructions, notices, documents or other communications as evidence. All communications to beemyguest.rentals shall be addressed to its registered office or such other address as beemyguest.rentals shall have notified Customer in writing at any time and, all communications to Customer, shall be sent to its address or such other address as Customer shall have notified beemyguest.rentals in writing at any time, including the instruction of poste restante which must be approved in writing. Since beemyguest.rentals must be able to contact the Customer at any time if needed, the Customer agrees to immediately inform beemyguest.rentals if he/she changes his/her address, e-mail address or telephone/fax number.
Data protection:
beemyguest.rentals, its administrators, employees or agents, are obliged to treat data confidentially. Despite all security precautions, data, including e-mail communications and personal financial data, may be accessed by unauthorized third parties during transmission between the Client and beemyguest.rentals. Customer agrees to use software produced by third parties, including, but not limited to, browser software that supports a data security protocol compatible with the protocol used by beemyguest.rentals.
Legal Incapacity:
The Client will bear the risk of any prejudice resulting from a legal incapacity related to his person or his lawyers or other third parties, unless such incapacity has been communicated to beemyguest.rentals in writing.
Liability: Without prejudice to any specific provision, any damage resulting from an error or omission on the part of beemyguest.rentals, its directors, employees or agents shall be borne by the Customer, unless beemyguest.rentals, its directors, employees or agents have committed gross negligence or fraud or any other liability that cannot be excluded under applicable law.
beemyguest.rentals shall not be liable if the Additional Services cannot be implemented. The liability of beemyguest.rentals with respect to the Additional Services is strictly limited to the selection, instruction and supervision of its affiliates or any other third party.
Any damage or loss resulting from the use of postal services, telegraph, telex, facsimile, telephone, and other means of communication or transportation, and particularly loss resulting from delays, misunderstandings, damage, abuse by third parties or duplication of copies, are at the expense of the Client, unless beemyguest.rentals has committed gross negligence.
Duration, termination and suspension of services:
In general, any Contract lasts for the period indicated and will then be automatically renewed for successive periods equal to the length of the initial term.
In all other respects, any Contract will be automatically renewed under the same terms and conditions.
either beemyguest.rentals or Customer may terminate any Contract for the term specified therein, or for the end of any extension or renewal period, by giving at least two months’ written notice to the other party. Termination shall be without prejudice to any rights or obligations of a party arising prior to termination or arising in respect of any act or omission committed prior to termination. The right to immediate termination for cause is reserved.
In the event of Customer’s violation of applicable laws or these Terms and Conditions of Business, beemyguest.rentals may terminate any Agreement with immediate effect, including an Agreement for additional Services provided by affiliates of beemyguest.rentals or by third parties. In such event, Customer shall take all necessary steps to replace any vacancy in any Company resulting from such termination and it is expressly agreed that beemyguest.rentals shall not be liable for any damages resulting from such immediate termination.
Assignment:
In order to perform its services, beemyguest.rentals reserves the right to hire subcontractors who will be under its authority. The rights and obligations of the Client resulting from a Contract can only be transferred to third parties with the written consent of beemyguest.rentals.
Communication:
beemyguest.rentals favors customer communication by email and strongly invites its customers to use a secure “SSL” access. The client must inform beemyguest.rentals in case of email changes or problems, add beemyguest.rentals emails to its “white list” and check that they do not go into spam.
The client must provide beemyguest.rentals with a phone number so that we can reach them in case of emergency or email malfunction. A mailing address must also be maintained in the customer profile.
Responsibility:
beemyguest.rentals, its partners and employees are not responsible or liable for the commercial activities carried out by its clients through the companies incorporated by beemyguest.rentals.
Each client and company must respect the laws of the State of registration, the laws of the country in question, the laws of international trade and other applicable legislation, as well as the laws of their country of residence.
Each client must verify in his country of residence the feasibility and legality of his activities as well as the income generated.
Tax, accounting and legal advice: no commercial, tax or accounting strategy can be advised and/or followed by beemyguest.rentals, which limits itself to putting clients in contact with specialists in the relevant field.
Our additional services :
The additional services offered by beemyguest.rentals are limited to an administrative and/or technical intervention. beemyguest.rentals does not provide legal services or advice. All information on legislation, taxation and company law in France and Turkey, etc. must be submitted verified and confirmed by specialists. Under the guidance and confirmation of the client, beemyguest.rentals provides company formation and other services, any order placed by the client implies that the client has verified the legality and feasibility of the project.
Case of death of one of the leaders and cases of force majeure:
These terms and conditions are applicable with the exception of:
The death or disability of one of its officers, making The Little KFT Agency and/or any of its partner companies and/or subsidiaries impossible to administer.
In case of force majeure such as, but not limited to, acts of war or terrorism, civil and/or military unrest, natural or nuclear disasters, pandemics, etc.
Changes and Updates:
KFT Small Agency reserves the right to modify, without notice and at any time these terms and conditions, it is the responsibility of each individual to review them regularly.
Applicable law:
All relations between the Client and beemyguest.rentals are governed by the law of France and Turkey, regardless of the rules of private international law.
The place of performance of the obligations of all parties for any legal action are located in France and Turkey, at the place where beemyguest.rentals has its registered office.
However, beemyguest.rentals is also entitled to take legal action against the Customer at the Customer’s place of residence or before any other competent court or authority.
